These Terms of Service ("Terms") govern your access to and use of Nquiry ("Service"), operated by JE Vectors LLC ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Service Description​

nquir is a cloud-based platform for managing compliance-critical work including investigations, evaluations, audits, reviews, and assessments. The Service enables users to:

  • Create and manage investigation projects
  • Upload and organize evidence (documents, images, notes)
  • Generate AI-powered analysis using third-party AI services
  • Create professional reports
  • Collaborate with team members within organizations

2. Account Registration​

2.1 Eligibility​

You must be at least 18 years old and capable of forming a binding contract to use the Service. By registering, you represent that you meet these requirements.

2.2 Account Information​

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for maintaining the confidentiality of your account credentials.

2.3 Account Security​

You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security.

3. Organizations and Teams​

3.1 Personal Organizations​

Upon registration, a personal organization is automatically created for you. You are the owner of your personal organization.

3.2 Team Organizations​

You may create or join team organizations. Organization owners and administrators can invite members, assign roles, and manage access permissions.

3.3 Role Hierarchy​

  • Owner: Full administrative control, including billing and organization deletion
  • Admin: Can manage members, create/delete content
  • Member: Can create and edit investigations and evidence
  • Viewer: Read-only access to investigations

3.4 Data Ownership​

Content uploaded to personal organizations belongs to you. Content in team organizations is owned by the organization, subject to the organization's internal policies.

4. Acceptable Use​

4.1 Permitted Use​

You may use the Service only for lawful purposes and in accordance with these Terms. The Service is intended for professional compliance, investigation, and assessment work.

4.2 Prohibited Conduct​

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Upload content that infringes intellectual property rights
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service's operation
  • Upload malicious code, viruses, or harmful content
  • Use the Service to store or transmit content that violates any person's privacy rights
  • Circumvent any security measures or access controls
  • Use automated systems to access the Service without our permission
  • Resell or redistribute the Service without authorization

4.3 Content Standards​

All content you upload must comply with applicable laws and regulations. You are solely responsible for ensuring your content does not violate any confidentiality obligations, privacy laws, or professional standards applicable to your work.

5. AI-Powered Features​

5.1 AI Analysis​

The Service uses artificial intelligence (currently Claude by Anthropic via AWS Bedrock) to generate analysis, summaries, and recommendations based on the content you provide.

5.2 AI Limitations​

AI-generated content is provided for informational purposes only. You acknowledge that:

  • AI outputs may contain errors, omissions, or inaccuracies
  • AI analysis does not constitute legal, professional, or expert advice
  • You are responsible for reviewing and validating all AI-generated content
  • AI outputs should be used as a tool to assist, not replace, human judgment

5.3 Data Processing​

When using AI features, your content (including investigation details, evidence text, and uploaded documents) is transmitted to our AI service provider for processing. See our Privacy Policy for details on data handling.

6. Storage and Quotas​

6.1 Storage Limits​

Storage quotas apply based on your subscription plan:

  • Free: 1 GB
  • Trial: 5 GB
  • Paid Plans: 50 GB (or as specified in your plan)

6.2 File Size Limits​

Individual file uploads are limited to 500 MB per file.

6.3 Exceeding Quotas​

If you exceed your storage quota, you will be unable to upload additional files until you reduce usage or upgrade your plan.

7. Subscription and Payment​

7.1 Free Tier​

A free tier is available with limited features and storage. Free accounts may be subject to additional restrictions.

7.2 Paid Subscriptions​

Paid subscriptions are billed on a recurring basis (monthly or annually) as specified at the time of purchase. Prices are subject to change with notice.

7.3 Payment​

Payment is processed through our third-party payment processor (Stripe). By providing payment information, you authorize us to charge your payment method for applicable fees.

7.4 Refunds​

Refunds are provided at our discretion. Contact support for refund requests.

8. Intellectual Property​

8.1 Service Ownership​

The Service, including its software, design, features, and documentation, is owned by the Company and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding.

8.2 Your Content​

You retain ownership of content you upload to the Service. By uploading content, you grant us a limited license to store, process, and display your content as necessary to provide the Service.

8.3 Feedback​

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without restriction or compensation.

9. Confidentiality​

9.1 Your Confidential Information​

We understand that you may upload sensitive and confidential information. We will maintain the confidentiality of your content and will not access, use, or disclose it except as necessary to provide the Service or as required by law.

9.3 No Guarantee​

While we implement reasonable security measures, no system is completely secure. We cannot guarantee that unauthorized access will never occur.

10. Data Retention and Deletion​

10.1 Active Accounts​

Your content is retained as long as your account is active. You may delete individual investigations or evidence at any time.

10.2 Account Deletion​

You may request deletion of your account at any time. Upon deletion:

  • Your personal organization and all its content will be permanently deleted
  • Files stored in cloud storage will be removed
  • You will be removed from team organizations (team content persists)
  • Audit logs may be retained for compliance purposes

10.3 Data Export​

You may export your data at any time through the account settings.

11. Disclaimer of Warranties​

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. AI-GENERATED CONTENT IS PROVIDED WITHOUT ANY WARRANTY OF ACCURACY OR COMPLETENESS.

12. Limitation of Liability​

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification​

You agree to indemnify and hold harmless the Company and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service

  • Extended inactivity
  • Any reason with reasonable notice

14.4 Effect of Termination​

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive.

We may modify these Terms at any time. Material changes will be communicated via email or through the Service. Continued use after changes constitutes acceptance of the modified Terms.

16. Governing Law and Disputes​
